ClosAffiliate programme terms

These terms are between Synergy Minds (FZE), Block C VL04-149, Sharjah Research Technology and Innovation Park, Sharjah, United Arab Emirates ("Closentry", "we") and the person or business accepted into the Closentry Affiliate Programme ("Affiliate", "you"). They apply from the date we confirm your acceptance and send your tracking link.
1. The programme
1.1 Affiliates recommend Closentry through their own channels (articles, videos, courses, newsletters, social media). Firms that work with clients on their accounts should apply to the Partner Programme instead.
1.2 We decide who joins and may decline an application without giving a reason. These terms are non-exclusive.
2. Your tracking link and referred customers
2.1 We give you a link with your code (for example https://www.closentry.com/?ref=YOURCODE). The website remembers the code in the visitor's browser for 90 days after their last visit through your link, and adds it to the enquiries they send us.
2.2 A Referred Customer is a business that was not already our customer or in an open sales conversation with us, that reaches us with your code (through the link, or by quoting the code), and that buys a licence within the 90 days. If more than one code applies, the last one before the purchase counts.
2.3 Tracking depends on the visitor's browser and on the customer using or quoting the code. We are not responsible for referrals that cannot be traced, for example when browser data is cleared. Our decision on attribution, made in good faith on the records we hold, is final.
3. Commission
3.1 You earn 20% of the net licence fees a Referred Customer pays us for Closentry: the first year and every renewal, for as long as the customer keeps a paid licence and you remain an affiliate in good standing.
3.2 Net licence fees means the amounts we actually receive for licences, excluding VAT and other taxes, bank and payment charges, refunds, credits, discounts and fees for services.
3.3 No commission is earned on free trials, free licences, your own purchases, or purchases by a business you own, control or work for.
3.4 If we refund a fee or a customer does not pay, the commission on it is not due; if already paid, we deduct it from your next payments.
3.5 We may change the commission rate for the future with 60 days' notice by email. A change does not reduce the rate on licences already paid for.
4. Payouts
4.1 We pay monthly: each month we send a statement of the Referred Customers, the net licence fees received in the previous month and your commission.
4.2 We pay within 30 days of the statement (or of your tax invoice, if you are VAT-registered), by bank transfer in USD to the account you give us. Amounts under USD amount carry over to the next month.
4.3 You may query a statement within 60 days; after that it is final.
5. How you may promote Closentry
5.1 Describe Closentry accurately, using our published materials; make no claims about features, prices, results or compliance that our documents do not make.
5.2 Say clearly that you earn a commission when you recommend Closentry (for example "affiliate link"), as the law and the rules of each platform require.
5.3 Do not: send unsolicited bulk messages; bid on "Closentry" or similar terms in paid search; use pop-ups, cookie stuffing or any method that sets your code without the visitor clicking your link; register domains or social-media names that include our name; offer cash-back or part of your commission to buyers without our written consent; or promote Closentry on sites with unlawful, hateful or adult content.
5.4 Comply with the laws that apply to you, including data-protection and consumer-protection law.
6. Brand
We give you a non-exclusive, revocable right to use the Closentry name and logo only to promote Closentry under these terms, following our brand guidelines. Do not suggest that you are part of Closentry or that we endorse you.
7. Relationship
You are independent. These terms do not create a partnership, joint venture, employment or commercial agency, and give you no authority to bind us or collect payment for us.
8. Term and termination
8.1 Either party may end these terms at any time by email. We may end them at once if you breach section 5.
8.2 After termination, commission continues on licences paid by Referred Customers during 12 months after the end date, unless we ended the terms for a breach of section 5. Commission obtained through a breach of section 5 is not due.
9. Tax
Commission is stated excluding VAT. You are responsible for any VAT, income or corporate tax on your commission; if you are registered for VAT, send us a tax invoice adding VAT at the applicable rate.
10. Liability and law
10.1 Neither party is liable to the other for indirect or consequential loss or loss of profit. Our total liability under these terms is limited to the commission paid or payable to you in the 12 months before the claim. Nothing limits liability that cannot be limited by law.
10.2 These terms are governed by the laws of the Emirate of Dubai and the federal laws of the UAE / DIFC / ADGM law, and disputes are resolved by courts / arbitration.
10.3 We may update these terms with 30 days' notice by email; continuing after that date is acceptance. How we handle your personal data is described in our privacy notice (https://www.closentry.com/privacy.html).
